These Terms of Service ("Terms") govern your access to and use of SeniorOps ("the Service"), operated by Qaswa Technology ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use the Service.
SeniorOps is a software-as-a-service platform that reads the data exports a senior-living operator already produces (for example, from electronic health record and medication-administration systems), ranks residents by configurable risk rules, generates plain-language clinical summaries, and flags residents whose acuity may have outgrown their billed care level. Risk rules are deterministic and confirmed by the customer; AI-generated summaries are advisory drafts.
The Service is intended for business use by authorized personnel of senior-living operators. You are responsible for the accuracy of your account information, for keeping your sign-in credentials confidential, and for all activity under your account. Do not share credentials. Access is granted per organization and per assigned role.
To the extent you use the Service to process protected health information (PHI), we act as your Business Associate under HIPAA, and such processing is governed by a separate Business Associate Agreement (BAA). You may not submit real PHI to the Service until a BAA is signed and PHI processing has been enabled for your account; until then, use only de-identified or synthetic data. In any conflict between the BAA and these Terms regarding PHI, the BAA controls.
You agree not to: (a) submit PHI except as permitted under Section 3; (b) use the Service unlawfully or in violation of any third party's rights; (c) attempt to access another organization's data or circumvent tenant isolation or security controls; (d) reverse engineer, copy, or resell the Service; or (e) upload malicious code. We may suspend access to protect the Service or other customers.
As between the parties, you retain all rights to the data you provide ("Your Data"). You grant us a limited, non-exclusive, royalty-free license to access, store, and process Your Data solely to: (a) provide and operate the Service; (b) perform security monitoring and backup; and (c) respond to support requests. This license ends when you delete the data or close your account, subject to the retention terms in our Privacy Policy and any BAA. Aggregated, de-identified statistics that cannot identify you, your residents, or your organization may be retained.
AI-generated summaries and rule-based flags are provided for decision-support only, may be incomplete or inaccurate, and must be reviewed and verified by qualified staff before any reliance or action. You are solely responsible for all clinical, operational, and billing decisions made by your organization.
Discovery engagements, pilots, and subscriptions are offered under the terms of a separate written order or agreement between you and Qaswa Technology. Except as required by law or expressly agreed in writing, fees are non-refundable. Where no separate order is in place, access may be provided for evaluation only and may be modified or withdrawn.
The Service — including its software, design, models, data pipelines, and underlying technology — is owned by Qaswa Technology and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your active term. We may use your feedback to improve the Service without obligation.
Each party may receive confidential information from the other and agrees to use it only to perform under these Terms and to protect it with reasonable care. This Section does not apply to information that is public through no fault of the receiving party or independently developed.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY OUTPUT IS ACCURATE OR COMPLETE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL CLINICAL JUDGMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QASWA TECHNOLOGY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS. Nothing in these Terms limits liability that cannot be limited under applicable law.
You agree to indemnify, defend, and hold harmless Qaswa Technology and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights or applicable law.
Either party may terminate as set out in the applicable order, or you may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service or other customers. Upon termination, your right to use the Service ends; we will make Your Data available for export for 90 days before deletion, subject to the BAA. Sections 5, 6, 8–12, and 14 survive termination.
These Terms are governed by the laws of the State of Nebraska, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Nebraska, and the parties consent to personal jurisdiction there.
We may update these Terms from time to time; material changes will be noted by updating the "Last updated" date and, where appropriate, by additional notice, and continued use after changes take effect constitutes acceptance.
